Terms of Service

Welcome to Vanuat Coffee Shipper ("Vanuat," "we," "us," or "our"). By accessing or using our website located at vanuat.org (the "Site"), our automated fulfillment services, private label features, and any related applications or tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

Please read these Terms carefully before using our Services. If you do not agree to all of these Terms, you are explicitly prohibited from using the Services and must discontinue use immediately.

1. Eligibility and Account Registration

• • Age Requirement: You must be at least 18 years old or the legal age of majority in your jurisdiction to form a binding contract to use our Services.
• • Account Accuracy: To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
• • Account Security: You are solely responsible for safeguarding your account password and for any activities or actions under your account. You must notify us immediately at info@vanuat.org of any unauthorized use of your account.

2. Scope of Services & Dropshipping Model

• • The Model: Vanuat provides a private label coffee dropshipping solution. We roast, package, and fulfill white-label coffee products directly to your end customers ("End Customers") on your behalf.
• • No Inventory Ownership: Except as otherwise explicitly agreed upon in writing, you do not purchase physical inventory upfront. Products are roasted and fulfilled on a print-on-demand/order-by-order basis.
• • Platform Integration: We provide integrations with third-party e-commerce platforms (e.g., Shopify, WooCommerce). We are not responsible for any glitches, downtime, or data loss caused by these third-party platforms.

3. Custom Branding, Artwork, & Intellectual Property

• • Your Submissions: You retain all rights to the logos, trademarks, and custom label designs ("User Artwork") that you upload to our Site for packaging.
• • License to Vanuat: By uploading User Artwork, you grant Vanuat a non-exclusive, worldwide, royalty-free license to use, reproduce, and print your artwork solely for the purpose of fulfilling your orders.
• • IP Warranties: You represent and warrant that you own or have the necessary licenses and permissions to use all User Artwork. You agree that your artwork will not infringe upon the intellectual property rights, trademarks, or copyrights of any third party.
• • Content Restrictions: We reserve the right to refuse to print any artwork that we deem unlawful, offensive, defamatory, or otherwise inappropriate.

4. Pricing, Payments, & Fees

• • Wholesale Pricing: You agree to pay the wholesale product and shipping prices active at the time an order is placed. Prices are subject to change with reasonable notice.
• • Automatic Billing: By linking a payment method to your account, you authorize Vanuat to automatically charge that payment method for any orders synced from your online store or manually submitted.
• • Taxes: You are solely responsible for determining, collecting, reporting, and remitting all applicable sales taxes, duties, and customs fees associated with sales to your End Customers.

5. Fulfillment, Shipping, & Delivery

• • Fulfillment Timeline: While we aim to process and ship orders within 24–48 hours, fulfillment times are estimates and not guarantees.
• • Shipping Address Accuracy: You are responsible for ensuring that the shipping address provided for the End Customer is accurate. Vanuat is not liable for orders misdelivered or lost due to incorrect address data provided by you or your store integration.
• • Risk of Loss: Risk of loss and title for products pass to you or your End Customer upon our delivery of the package to the shipping carrier.

6. Returns, Refunds, & Quality Standards

• • Perishable Goods: Because coffee is a perishable, custom-branded product, we do not accept returns or offer refunds for change of mind or buyer's remorse.
• • Damaged or Defective Items: If a product arrives damaged, defective, or if an incorrect item was shipped, you must notify us within fourteen (14) days of delivery with photographic evidence. If verified, Vanuat will issue a replacement or credit at our sole discretion.
• • Label Modifications: Slight color variances between digital proofs and physical prints are normal in digital printing. Vanuat is not responsible for minor color variations or design choices made by the user.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Vanuat and its affiliates, officers, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, goodwill, use, data, or other intangible losses arising out of or relating to your use of or inability to use the Services.

8. Indemnification

You agree to defend, indemnify, and hold harmless Vanuat from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

1. Your violation of any term of these Terms of Service.
2. Any claim that your User Artwork caused damage to a third party or infringed upon third-party intellectual property rights.
3. Your relationships, disputes, or transactions with your End Customers.

9. Termination

We reserve the right to terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Middlesex County, Massachusetts.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will notify you of any material changes by posting the new Terms on the Site and updating the "Last Updated" date. Your continued use of the Services following the posting of changes constitutes acceptance of those changes.
